Terms & Conditions For Sales And Purchases
Ordering Guidelines
Quotes are valid for 48 hours - unless specified by your sales representative. Prices are confidential and must not be shared with any other company or third party.
Unless otherwise stated and specified by your sales representative - currency for price quotes are in Canadian Funds (CAD), are based on pick up from our facility in Mississauga, ON Canada, and do not include duties and taxes.
There is no minimum order quantity - prices progressively decrease as the volume of your order increases.
Same day orders are subject to $100 rush charges.
For promotions or special offers, only 1 discount code is allowed per order (whichever is greater) and cannot be combined with any other offer.
Orders can be placed online through our website, over the phone, or by email with your sales representative. To avoid any misunderstandings or miscommunications, it is preferred that orders are given in writing, with a formal purchase order number.
Please check your order before completing and submitting it. Additions will require additional processing time, which may delay the shipping of your order. Deletions or cancellations may result in additional processing fees of 10% - subject to management approval depending on what extent and stage of the processing is completed.
Order confirmation will be provided within 24 hours of placing your order by your dedicated customer service and/or sales representative. No order is confirmed until you receive written acknowledgement. Order confirmations are subject to the following conditions: product is in stock, price is still valid and credit account is in good standing and no payments are overdue.
EZ Elements Inc. tries to maintain accurate stock counts in the warehouse and website. There might be stock discrepancies, where EZ Elements cannot fulfil some or all of the items purchased. In this situation, you can cancel the order at no extra charge, or wait for replenishment of stock and keep your order open as a backorder. If a backorder is created, EZ Elements will be responsible to hold the stock for the Buyer for up to 30 days upon replenishment. Beyond 30 days the stock will not be guaranteed or will be subjected to a 5% holding fee per month.
If a blanket order is placed, the buyer has the obligation to withdraw quantities within 60 days of confirmation and receipt of the product. Unless a specified release schedule is given, EZ Elements will not reserve stock for more than 60 days. After 60 days, stock cannot be guaranteed, and will be allocated elsewhere, or subject to a 5% holding fee per month.
Force Majure
For reasons beyond the control of EZ Elements including but not limited to: strikes, boycotts, fires, explosions, flood, earthquake, lack of availability of raw materials or energy, acts or omissions of Government/Authorities, acts of God, epidemics, pandemics, terrorism, or any such reason beyond reasonable control - EZ Elements will not be liable for any defaults and delays and will be under no obligation to fulfil contracts until situations allow for obligations to be fulfilled.
Payment Policy
The first order with any new customer requires 100% advance payment, until terms are established.
Credit is subject to credit approval, which is conducted by our accounting department and a 3rd party. This process can take up to 14 business days.
Late payments are subject to 2% interest per month (26.82% per annum).

Tax Rates
- The following tax rates in will be used based on your delivery location:
- Alberta @ 5%
- British Columbia @ 5%
- Manitoba @ 5%
- New Brunswick @ 15%
- Newfoundland & Labrador @ 15%
- Nova Scotia @ 15%
- Nunavut @ 5%
- Ontario @ 13% (***includes taxes on orders being picked up)
- Prince Edward Island @ 15%
- Quebec @ 14.975%
- Saskatchewan @ 5%
- NYukon @ 5%
For exemptions to the taxes above, a tax exemption letter must be provided.
Shipping Terms
All shipments will be sent via ground from our warehouse in Mississauga, ON Canada unless specified by the Buyer. We make every effort to deliver your order within the estimated timeline - however, please note that delivery might be delayed due to unforeseen circumstances such as bad weather, customs clearance or carrier issues and delays. Expedited shipping is available at an additional cost.
Shipping will be arranged by the EZ Elements using our third party contracted service providers, unless the Buyer is arranging the shipping.
For bulk orders general shipping rates are based on standard dock to dock services. Any additional requirements such as (use of tailgate, residential delivery, or redelivery) will be subject to additional costs to the Buyer.
For non-bulk orders, our preferred carrier is FedEx or UPS. These rates are calculated and estimated automatically at the time of purchase, based on weight and volume using FedEx or UPS shipping integrations and our discounted rates. Please note that the prices presented online may change and will not include additional taxes or customs duties. The Buyer is responsible for such charges.
Upon receipt of the order, the Buyer is responsible to inspect the shipment and report any damages and discrepancies within 24 hours of receipt of the goods. If goods cannot be offloaded, refuse the shipment and notify us immediately. Beyond this time frame, we are not responsible for any claims, loss or damages incurred during shipping.
Ownership of the goods and liability shall pass from EZ Elements to the Buyer when the goods leave our premises unless if we arrange the shipping - in this instance the ownership and liability will be transferred at the destination of the goods.
Quality Standards
All raw materials and bases sold by EZ Elements are subject to rigorous quality control measures to ensure that they meet the highest standards of purity and performance. We guarantee that all Elements sold by our company meet the specifications and standards provided by the manufacturer using state-of-the-art equipment and methods to test for impurities, contaminants, and other factors that could affect the performance or safety of the Elements.
All products are packaged and labelled in accordance with industry standards and regulations to ensure that the products are protected during shipping and storage, and all necessary safety and handling information is provided on each label and presented in the material safety data sheet. EZ Elements stores and handles all Elements in accordance with industry best practices and regulatory requirements. We use appropriate storage conditions, such as temperature and humidity control, to ensure that the Elements remain stable and safe for use.
We warrant that all Elements sold by our company are of good quality and free from defects. However, we are not liable for any damages, losses, or injuries that may arise from the use or misuse of the Elements, whether due to negligence, improper handling, or other factors beyond our control.
It is recommended that small bench samples be prepared prior to bulk batches, to test the reactivity and interaction between all chemical products in your formulation. EZ Elements is not responsible for any issues arising from faulty batches. Any claims arising, must be notified within 14 days and shall not exceed the cost of the goods sold.
Return Policy
EZ Elements strives to achieve 100% customer satisfaction. If you are not satisfied with your products, EZ Elements must be notified (in writing) within 48 hours of receipt of your order regarding any discrepancies to your order or quality concerns. All returns and refunds are subject to management approval.
Any returns must be received within 14 business days to our premises (at the expense of the Buyer) located in Mississauga, ON Canada. All product returns must be notified in advance and delivery appointments must be made 24 hours in advance with our logistics team. Failure to notify of a return will result in rejection of the return from the warehouse.
If an error has been made by EZ Elements on a written order, we will gladly pay for re-shipment and the return. All errors arising from miscommunication on verbal orders will be the sole responsibility of the customer and they will be accountable for return freight. Therefore, please submit orders in writing whenever possible.
If an error has not been made by EZ Elements the return must be authorized by management. A refund will be granted (less the restocking fee and initial freight charges) if the product is in its original sealed container/packaging. Due to storage conditions being outside of our control, there will be no exceptions to this policy.
The following conditions waive the ability for products to be returned or refunded:
products on liquidation or final salebulk orders [20kg (or greater) bags/boxes, 180kg (or greater) drums or 1000kg (or greater) totes]
all essential oils or carrier oils.
Restocking fees are 20% or $50 whichever is greater. If the returned item is $500 or less, a credit will be applied to the Buyer’s account. There will be no refund for the initial freight charges, if paid by EZ Elements.
Refunds or credits may take up to 2 weeks to process. Refunds will be processed in the manner in which the order was paid. We require VOID cheque to credit the account if order is paid by E-Transfer, Direct Deposit, ACH, or Wire Transfer.
Governing Law & Jurisdiction
The terms and conditions and the use of this website shall be governed in all respects by the laws of Canada and the Province of Ontario.
